These Website Terms of Use ("Terms") govern access to and use of the website located at www.travv.com, the account portal located at app.travv.com, and any related websites, pages, forms, tools, applications, and content operated by Travv, Inc. ("TRAVV," "we," "us," or "our") (collectively, the "Site").

BY ACCESSING OR USING THE SITE, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE.

For veterinary professionals only.

The interactive tools made available on the Site are intended solely for use by licensed veterinary professionals, persons working under their supervision, and veterinary students using them for educational purposes. They are not intended for use by animal owners or members of the general public, and they are not intended for use with human medical images or human patient information. See Sections 2, 5, and 10.

Files you upload are retained and used to improve our technology.

Files are stored in the form you provide them, including any owner, patient, or practice information embedded in them. We remove identifying information before using a file to develop or evaluate our technology, for research, or for any publication or presentation. You remain responsible for removing anything you do not wish to share with us. See Section 10.

Please note.

Section 18 contains a waiver of your right to a trial by jury. Please read it carefully.

1. Scope of These Terms

These Terms apply to your access to and use of the Site as a visitor or user, including your use of any free interactive tool made available on the Site (see Section 10).

If you or your organization register for, access, or use certain TRAVV products or services which are governed by a separate services agreement, order form, click-through agreement, or other written agreement with TRAVV (collectively, a "Service Agreement"), that Service Agreement supersedes these Terms with respect to that particular product or service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site. If you access or use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you use an interactive tool described in Section 10, you further represent and warrant that you are a licensed veterinary professional, a person working under the supervision of a licensed veterinary professional, or a veterinary student using the tool for educational purposes.

3. Permitted Use

You may use the Site solely for lawful purposes and in accordance with these Terms. Subject to these Terms, TRAVV grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal informational and business purposes.

4. No Veterinary Advice; Informational Use Only

The Site is provided for general informational purposes only. Content made available on the Site, including descriptions of services, blog posts, articles, white papers, guides, reports, forms, images, videos, or other materials, does not constitute veterinary advice, medical advice, diagnosis, treatment recommendations, or professional services.

No veterinarian-client-patient relationship, provider-patient relationship, or other professional relationship is created solely by your access to or use of the Site, your submission of an inquiry, or your receipt of information from the Site.

Any clinical, diagnostic, interpretive, educational, or treatment-related information presented on the Site is not a substitute for the independent professional judgment of a licensed veterinarian or other qualified professional. Decisions relating to diagnosis, treatment, case management, and patient care remain the sole responsibility of the attending veterinarian or other appropriate professional.

This Section applies equally to any output generated by a Site Tool as described in Section 10.

5. Professional Audience

The Site, and in particular the interactive tools described in Section 10, are directed to veterinary professionals, veterinary practices, and other commercial users. References to TRAVV's products or services do not mean such products or services are available to all persons, in all jurisdictions, or for all uses.

TRAVV does not verify the professional credentials of Site users and relies on the representations you make under Section 2. Use of the Site by a person who does not meet the eligibility requirements in Section 2 is unauthorized.

6. No Guarantee of Availability or Results

We may modify, suspend, or discontinue all or any part of the Site at any time, with or without notice. We do not guarantee that the Site will always be available, secure, accurate, complete, current, or error-free.

Descriptions of products, services, turnaround times, compatibility, features, or future functionality are for general informational purposes and may change at any time.

7. Acceptable Use

You may not, and may not permit any third party to:

  • (a) use the Site in violation of any law, regulation, or third-party right;
  • (b) copy, reproduce, distribute, republish, download, display, post, or transmit Site content except as expressly permitted by these Terms;
  • (c) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from the Site or any software, code, or materials made available through it;
  • (d) interfere with or disrupt the Site or the servers or networks connected to the Site;
  • (e) use any robot, spider, scraper, crawler, data mining tool, or other automated means to access the Site for any purpose without our prior written consent;
  • (f) attempt to gain unauthorized access to any part of the Site, accounts, systems, or networks;
  • (g) upload, transmit, or introduce malicious code, viruses, worms, Trojan horses, or other harmful materials;
  • (h) use the Site to send spam, chain letters, junk mail, or other unauthorized communications;
  • (i) misrepresent your identity, credentials, or affiliation with any person or entity; or
  • (j) use the Site in any way that could damage, disable, overburden, or impair the Site.

8. Accounts

(a) Registration

If you create an account, you agree to provide accurate and complete information and to keep it current. You must meet the eligibility requirements in Section 2, and you confirm that you continue to meet them each time you access your account.

(b) Credentials

You are responsible for maintaining the confidentiality of your login credentials. You may not sell, transfer, or share your credentials or your account with any other person. You must promptly notify us of any unauthorized use of your account or credentials.

(c) Responsibility for activity

You are responsible for all activity occurring under your account, whether or not you authorized it.

(d) Suspension and termination by TRAVV

Accounts are provided free of charge. We may suspend or terminate your account, or restrict access to any feature, at any time, with or without cause and with or without notice, and without liability to you.

(e) Closing your account

You may close your account at any time by contacting support@travv.com.

(f) Effect of termination

When your account is closed or terminated, your right to access it ends immediately. Closing or terminating an account does not by itself delete files or output you have submitted; TRAVV retains and uses them as described in Section 10, and you may request deletion under Section 10(n). The licenses granted in Sections 10(f) and 10(g), and any provision that by its nature should survive, survive termination.

9. User Submissions

If you submit information to us through the Site, including inquiries, demo requests, feedback, contact forms, applications, or other materials ("Submissions"), you represent that:

  • (a) you have the right to submit the information;
  • (b) the information is accurate to the best of your knowledge;
  • (c) the information does not violate any law or third-party right; and
  • (d) except through a tool or form that TRAVV has specifically designated for that purpose (including the interactive tools described in Section 10), you will not submit confidential, sensitive, or regulated information through the Site.

You grant TRAVV a non-exclusive, worldwide, royalty-free license to use, reproduce, store, process, and otherwise use Submissions as reasonably necessary to respond to your inquiry, operate the Site, improve our offerings, and as otherwise described in our Privacy Policy.

Files you upload to an interactive tool are governed by Section 10 rather than this Section 9.

If you are a customer submitting data, images, studies, or other information through Travv Dx or other services, the applicable Service Agreement governs that submission and use.

10. Interactive Tools and AI Features

The Site may make available interactive tools that allow you to upload an image or file and receive automated output, including tools that measure vertebral heart score (VHS), vertebral left atrial size (VLAS), or other quantitative values from veterinary radiographic images (each, a "Site Tool"). This Section applies whenever you use a Site Tool, whether or not you create an account. By uploading a file to a Site Tool, you accept these Terms, including this Section 10.

(a) Automated output; not an interpretation

Output generated by a Site Tool is produced by an automated algorithm. It is not reviewed by a veterinarian, radiologist, or other qualified professional before it is returned to you. Output is a measurement only. It is not a diagnosis, a radiographic interpretation, a report, a treatment recommendation, or a professional service, and it does not identify, confirm, or rule out any condition. Output does not include any assessment of image quality, patient positioning, or clinical appropriateness.

(b) Accuracy limitations

The accuracy of a Site Tool depends on factors including image quality, patient positioning, projection, anatomy, breed, and body condition. Published reference ranges for VHS and VLAS vary by breed and by measurement methodology. No automated measurement is one hundred percent accurate. You are solely responsible for independently reviewing and verifying any output before relying on it for any purpose.

(c) Professional use; no professional relationship

Site Tools are intended solely for use by the persons described in Section 2. Use of a Site Tool does not create a veterinarian-client-patient relationship, a provider-patient relationship, or any other professional relationship between you and TRAVV. All diagnostic, treatment, and case-management decisions remain the sole responsibility of the attending veterinarian.

(d) Animal use only

Site Tools are intended for veterinary (non-human) images only. You may not upload human medical images or information relating to a human patient.

(e) Your rights in uploaded files

You represent and warrant that, for each file you upload: (i) you own the file or have all necessary rights, permissions, and authority to upload it and to grant the licenses in this Section, including from any practice, employer, hospital, or animal owner having an interest in it; (ii) uploading it does not violate any law, contract, or third-party right; (iii) you have the right to disclose to TRAVV any personal information the file contains, including information embedded in file metadata; and (iv) you understand and accept that TRAVV will store the file in the form you provide it, including any personal information it contains, and will retain and use it as described in this Section.

(f) License to operate the tool

You grant TRAVV a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, and display files you upload as reasonably necessary to operate the Site Tool and return output to you.

(g) License for improvement, research, and publication

You further grant TRAVV a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to retain, reproduce, modify, adapt, create derivative works from, and otherwise use files you upload and data derived from them, in de-identified form, in order to develop, train, evaluate, validate, and improve TRAVV's algorithms, products, and services, and for research, quality assurance, education, publication, presentation, and inclusion in any reference image library. TRAVV will remove or mask information identifying the animal owner, the submitting practice, and the referring veterinarian before using an uploaded file for any purpose described in this subsection. This license survives any deletion of your uploaded file and any termination of your use of the Site.

(h) Embedded metadata

Radiographic files, including DICOM files, commonly contain embedded metadata identifying an animal owner, patient, practice, or referring veterinarian. TRAVV does not automatically remove this metadata when you upload a file, and the file is stored in the form you provide it. TRAVV removes or masks identifying metadata before using a file for any of the purposes described in Section 10(g). You remain responsible for removing or masking any information you do not wish to provide to TRAVV, and you should not upload a file containing information you are not authorized to share with us.

(i) Ownership of output

As between you and TRAVV, you retain all right, title, and interest in the file you upload. TRAVV owns all right, title, and interest in the output generated by a Site Tool, including measurements, values, annotations, overlays, graphical markings, and any report or record generated from them, together with all intellectual property rights in them. Nothing in this Section transfers ownership of your uploaded file to TRAVV, or ownership of the output to you.

(j) Permitted use of output

Subject to these Terms, TRAVV grants you a limited, non-exclusive, non-transferable, revocable license to use output generated from files you upload solely for your own internal clinical, patient-care, and business purposes, including inclusion in the patient's medical record, disclosure to the animal's owner, and disclosure to other professionals involved in that patient's care.

Without TRAVV's prior written permission, you may not: (i) publish, present, or distribute output publicly, or submit it for publication; (ii) include output in any research study, clinical trial, abstract, poster, or other scientific communication; (iii) use output in advertising, marketing, or any public comparative or performance claim; (iv) conduct or publish any benchmark, comparative evaluation, or performance study of a Site Tool or its output, whether against a competing product or service or otherwise; (v) use output or a Site Tool to develop, train, or improve any competing product, service, or model; or (vi) use output to train or evaluate any machine learning model.

Nothing in this subsection restricts your own internal assessment of whether a Site Tool is suitable for use in your practice — Section 10(b) asks you to make exactly that assessment. The restrictions above apply to external, published, or public use.

(k) Sharing

A Site Tool or your account may allow you to share a study, image, or output with another person, including by link. You are responsible for each share you initiate and for the recipient's use of what you share. Before sharing, you must confirm that you are permitted to disclose the file and any personal information it contains to that recipient. Sharing grants the recipient no rights beyond those in Section 10(j), you must make the recipient aware of the restrictions in that subsection, and you may not use a sharing feature to circumvent them. TRAVV may disable a share, remove shared content, or limit sharing at any time.

(l) Availability, limits, and changes

Site Tools are provided free of charge and without any service-level, uptime, support, or turnaround commitment. We may impose usage limits, rate limits, or eligibility requirements, and may modify, suspend, discontinue, or begin charging for any Site Tool at any time, without notice and without liability to you.

(m) Result links

Output may be made available at a URL containing a session identifier. Any person who obtains that URL may be able to view the output. You are responsible for how you distribute that URL, and you may not post it publicly or otherwise make it available to the general public.

(n) Retention and deletion

TRAVV retains files uploaded to a Site Tool, and data derived from them, for as long as reasonably necessary for the purposes described in this Section and in our Privacy Policy. Closing your account does not by itself delete them. You may request deletion of a file you uploaded by contacting support@travv.com and identifying the file. Following such a request, TRAVV will delete the file from its active systems within a reasonable period, but may retain and continue to use a de-identified copy of it under Section 10(g). You acknowledge that TRAVV cannot retract de-identified data that has already been incorporated into a training dataset, a trained model, a backup, or an archival copy, and that such data may persist notwithstanding your request.

11. Intellectual Property

The Site and all content, features, functionality, software, text, graphics, logos, icons, images, audio, video, designs, compilations, and other materials on the Site are owned by TRAVV or its licensors and are protected by intellectual property and other applicable laws.

Except for the limited right to access and use the Site as expressly provided in these Terms, no right, title, or interest in or to the Site or any content is transferred to you. All rights not expressly granted are reserved by TRAVV.

TRAVV, related logos, product names, service names, and branding are trademarks or service marks of TRAVV or its affiliates. You may not use them without prior written permission.

This Section does not apply to files you upload or to output generated from them. Ownership of those is addressed in Section 10(i), and your permitted use of output is addressed in Section 10(j).

12. Third-Party Links and Services

The Site may contain links to third-party websites, applications, products, or services. These are provided only as a convenience. TRAVV does not control and is not responsible for third-party content, policies, or practices, and inclusion of a link does not imply endorsement.

13. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

14. Electronic Communications

By submitting your contact information through the Site, you consent to receive communications from us electronically, including by email, and, where you separately opt in, by text message. You can unsubscribe from marketing emails using the unsubscribe link in the message. Text message consent is not a condition of purchase or service. Text messages we send are transactional in nature — they notify you about case activity, assignments, report availability, and other account or service events — and may be sent using automated technology. Message and data rates may apply. Message frequency varies with case volume and account activity. Reply STOP at any time to opt out and HELP for help. Mobile information will not be shared or sold to third parties for marketing or promotional purposes.

15. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAVV DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND FREEDOM FROM ERRORS OR HARMFUL CODE.

WITHOUT LIMITING THE FOREGOING, TRAVV DOES NOT WARRANT THAT THE SITE OR ANY CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

WITHOUT LIMITING THE FOREGOING, TRAVV MAKES NO WARRANTY THAT ANY OUTPUT GENERATED BY A SITE TOOL WILL BE ACCURATE, RELIABLE, CLINICALLY VALID, REPRODUCIBLE, OR FIT FOR ANY PARTICULAR PURPOSE, AND SPECIFICALLY DISCLAIMS ANY LIABILITY FOR YOUR INTERPRETATION OF, OR CONCLUSIONS DRAWN FROM, ANY SUCH OUTPUT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAVV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TRAVV AND ITS RELATED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

NOTHING IN THESE TERMS LIMITS LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless TRAVV and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your misuse of the Site, your Submissions, your upload of any file to a Site Tool, or your violation of any law or third-party right.

18. Governing Law; Venue; Informal Resolution; Jury Trial Waiver

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

(a) Informal resolution

Before initiating any legal action, you agree to first contact us at support@travv.com and attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days.

(b) Venue

If the dispute is not resolved informally, any legal action or proceeding arising out of or relating to the Site or these Terms shall be brought exclusively in the U.S. District Court for the Western District of Oklahoma or the state courts located in Oklahoma County, Oklahoma, and each party consents to the exclusive jurisdiction of those courts.

(c) Jury trial waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES ANY AND ALL RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

19. Changes to These Terms

We may revise these Terms from time to time in our sole discretion. Updated Terms will be posted on the Site with a revised "Last Updated" date. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.

20. General

These Terms constitute the entire agreement between you and TRAVV regarding the Site and supersede prior understandings regarding the Site. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
